Hasanah

These Terms of Service ("Terms") govern your access to and use of the Hasanah website, mobile application, and related services (collectively, the "Service").

Hasanah is a subsidiary of Open Fundraise LLC ("Hasanah," "we," "us," or "our").

By accessing or using the Service, creating an account, linking an account, enabling roundup giving, authorizing recurring debits, or otherwise using Hasanah, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility

To use the Service, you must:

  • be at least 18 years old;
  • reside in the United States;
  • have the legal capacity to enter into a binding agreement;
  • provide accurate, current, and complete information; and
  • be authorized to connect and use any account, card, or checking account linked to the Service.

You represent and warrant that all information you provide is true and that you are authorized to use any financial account or payment method you connect to Hasanah.

2. Description of the Service

Hasanah enables users to participate in a roundup-based charitable giving program.

When you enroll and provide authorization, Hasanah may connect to certain financial accounts, payment cards, or other eligible accounts that you choose to link for transaction analysis ("Connected Accounts"). Hasanah uses transaction information from those Connected Accounts to calculate roundup amounts based on eligible transactions.

Hasanah also requires a linked U.S. checking account for recurring ACH withdrawals ("Funding Account"). Hasanah aggregates calculated roundup amounts over recurring enrollment periods and initiates recurring ACH debits from your Funding Account in accordance with your authorizations and these Terms.

Hasanah currently routes donations through campaigns selected and administered through the Service. Unless Hasanah expressly offers otherwise, users do not individually select the recipient nonprofit organization.

3. How Roundups Work

In general, Hasanah rounds an eligible transaction up to the next whole dollar and aggregates those differences over your active roundup cycle.

For example, if an eligible transaction is $4.25, Hasanah may calculate a roundup amount of $0.75.

Hasanah may exclude transactions that are pending, reversed, refunded, duplicated, disputed, failed, canceled, or otherwise ineligible. Hasanah does not guarantee that all eligible transactions will be captured in real time or included in a particular cycle.

4. Roundup Cycles and Withdrawals

Your roundup cycle begins on your enrollment date and recurs every seven (7) days on the same recurring day, unless otherwise disclosed in the Service.

At the end of each cycle, Hasanah calculates the total roundup amount for that cycle and initiates an ACH debit from your Funding Account for the applicable amount, subject to your right to pause, skip, or cancel as described in the Service.

Because your transaction activity may vary, the amount of each debit may vary from cycle to cycle.

Hasanah may provide notice of scheduled recurring debits through the Service, by push notification, by email, by SMS, or by other reasonable electronic means, as permitted by law and described in your authorization.

5. Fees and Optional Tips

Hasanah charges a 2.5% platform fee to help cover operating expenses.

Unless otherwise disclosed in the Service, the 2.5% platform fee is deducted from the donor's total roundup amount before funds are distributed through Hasanah's charitable campaign structure.

Hasanah may also allow users to provide an optional voluntary tip to Hasanah. Any tip is entirely optional, is not required to use the Service, and will be clearly disclosed before the user consents to it.

Optional tips are retained by Hasanah or Open Fundraise LLC and are not part of the charitable contribution routed to the recipient nonprofit organization.

6. Authorization to Link Accounts and Process Debits

By enrolling in Hasanah, you authorize Hasanah and its service providers to:

  • connect and access your Connected Accounts and Funding Account;
  • receive, process, use, and store certain account and transaction information needed to provide the Service;
  • calculate roundup amounts based on eligible transactions;
  • initiate recurring ACH debits from your Funding Account;
  • process the 2.5% platform fee;
  • process any optional tips you elect to provide; and
  • support charitable campaign routing, nonprofit reporting, receipt workflows, and related service functions.

You understand and agree that Hasanah may rely on third-party service providers, including Plaid and Stripe, in connection with account linking, transaction analysis, verification, payment processing, and related operations.

7. Pause, Skip, and Cancellation

You may pause participation or skip a scheduled cycle at any time before the applicable processing cutoff shown in the Service.

You may also cancel your participation entirely by disconnecting your Funding Account, disabling roundup participation, or closing your account.

Any pause, skip, or cancellation will apply prospectively and will not affect withdrawals already authorized and in process before the pause, skip, or cancellation becomes effective.

8. Failed Withdrawals

If a scheduled ACH withdrawal fails or is rejected, Hasanah may notify you through the Service and may also use other contact information associated with your account for service-related notices.

Unless otherwise disclosed, Hasanah will skip that failed cycle rather than automatically retrying that same debit.

You are responsible for any fees, overdraft charges, or other bank charges imposed by your financial institution.

9. Charitable Campaigns and Partner Nonprofits

Hasanah only partners with organizations that Hasanah understands to be recognized as tax-exempt under Section 501(c)(3) of the Internal Revenue Code.

Hasanah routes donations through campaigns and may update, replace, suspend, or discontinue campaigns, campaign structures, nonprofit recipients, or campaign allocations over time.

If Hasanah makes a material change affecting where future donations are routed, Hasanah will provide notice before the change takes effect.

Hasanah does not guarantee the continued tax-exempt status, compliance, operations, performance, or conduct of any nonprofit organization and is not responsible for matters outside its reasonable control.

10. Tax Receipts and Charitable Acknowledgments

The recipient nonprofit organization, not Hasanah, is responsible for issuing any donor tax receipt or charitable acknowledgment where applicable.

Any tax receipt or charitable acknowledgment should reflect only the amount treated as a charitable contribution to the recipient nonprofit organization, and not any amount retained by Hasanah as a platform fee or optional tip.

Hasanah may display donation history, fee history, tip history, payment records, campaign confirmations, and similar records for convenience, but such records may not by themselves satisfy tax substantiation requirements.

You are solely responsible for consulting your own tax advisor regarding the deductibility of any donation.

11. Refunds

Donations made through Hasanah are generally final and nonrefundable.

Refunds may be considered only in exceptional circumstances, such as confirmed fraud, unauthorized activity, or material processing error, and only to the extent permitted by law and approved by Hasanah in its discretion.

Nothing in these Terms limits any rights you may have under applicable law with respect to unauthorized electronic fund transfers or error resolution.

12. Communications and Electronic Notices

By using the Service, you consent to receive communications from Hasanah electronically, including through in-app messages, push notifications, email, SMS, or other electronic means.

These communications may include:

  • enrollment confirmations;
  • authorization confirmations;
  • scheduled debit notices;
  • failed payment alerts;
  • campaign change notices;
  • service announcements;
  • support communications; and
  • policy updates.

You are responsible for keeping your contact information current and for maintaining access to the communication channels associated with your account.

13. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to notify Hasanah promptly if you believe your account has been compromised or if you believe there has been unauthorized access, unauthorized activity, or an unauthorized transfer.

14. Prohibited Conduct

You agree not to:

  • use the Service for any unlawful, fraudulent, deceptive, or abusive purpose;
  • link or use accounts you are not authorized to use;
  • misrepresent your identity or eligibility;
  • interfere with the operation or security of the Service;
  • attempt to gain unauthorized access to the Service or related systems; or
  • misuse the Service in a way that may harm Hasanah, partner nonprofits, service providers, or other users.

15. Third-Party Services

The Service may rely on third-party providers for account linking, transaction analysis, payment processing, communications, analytics, fraud prevention, hosting, and related services.

Your use of third-party services may also be subject to those third parties' own terms and privacy policies. Hasanah is not responsible for third-party services except as required by applicable law.

16. Suspension and Termination

Hasanah may suspend, limit, or terminate your access to the Service at any time if:

  • you violate these Terms;
  • we suspect fraud, unauthorized activity, or misuse;
  • required by law, regulation, court order, or a service provider relationship; or
  • we discontinue the Service or any part of it.

You may stop using the Service at any time.

Termination or cancellation does not affect rights or obligations arising before termination, including amounts already authorized or records required to be retained by law.

17. Privacy

Your use of the Service is also governed by the Hasanah Privacy Policy, which is incorporated into these Terms by reference.

18. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HASANAH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Hasanah does not guarantee uninterrupted availability, complete transaction capture, error-free calculations, successful debits, campaign availability, or uninterrupted nonprofit participation.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HASANAH, OPEN FUNDRAISE LLC, AND THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF HASANAH FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) $100, OR (B) THE AMOUNT OF FEES PAID BY YOU TO HASANAH DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

20. Indemnification

You agree to defend, indemnify, and hold harmless Hasanah, Open Fundraise LLC, and their affiliates, officers, directors, employees, contractors, and agents from and against claims, losses, liabilities, damages, judgments, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • your use or misuse of the Service;
  • your violation of these Terms;
  • your violation of applicable law; or
  • your unauthorized use of any account or payment method.

21. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Florida, unless applicable law requires otherwise.

22. Changes to These Terms

Hasanah may update these Terms from time to time. If we make material changes, we may provide notice through the Service, by email, or by other reasonable means.

Your continued use of the Service after updated Terms become effective constitutes your acceptance of the revised Terms.
